Position summary & job purpose:
We are recruiting a dynamic Legal Advisor to be responsible for the SINAR project works with emphasis on deliverables transactions. The Sustainable Energy for Indonesia’s Advancing Resilience (SINAR) Project is a sixty (60) month project funded by the USAID (United States Agency for International Development) and implemented by Tetra Tech, from January 4, 2021, through January 3, 2026. The purpose of USAID’s SINAR project is to advance Indonesia’s development goals in expanding reliable and equitable energy services necessary for sustainable development and inclusive economic growth. To achieve this goal, the activity will focus on the following areas: 1) Deployment of advance energy, 2) Performance of energy utilities, 3) Best practices in procurement, and 4) Institutional framework and capacity of energy sector transformation. By achieving this goal, USAID will contribute to Indonesia’s Sustainable Development Goals and 2020-2024 National Midterm Development Plan. S/he will be responsible to provide a variety of quasi-legal and administrative duties related to energy regulation, operation, and other general SINAR project nature. Position responsibilities:
- Provide initial draft and performs initial review of routine SINAR project work documents, including but not limited to NDAs, resolutions, Scope of Work (SOW), memorandums, deliverables, legal opinions, and side letters.
- Work with external legal subcontractors to complete subscription documents
- Assist the Chief of Party in managing due diligence process by providing diligence checklists and coordinating review of responses.
- Provide guidance and legal opinion on PPA litigation/arbitrage/termination, legal and regulatory development and reform, bank guarantees transactions, government’s administrative laws and regulations, state owned enterprises legal structures, corporate and shareholding ownership laws, transfer of assets to public enterprises, insurances, contract enforcement and other energy business related matters.
- Conduct initial review and provides initial drafts of amendments, consent, and waiver requests.
- Maintain and update compliance checklists
- Assist the Chief of Party with applicable transactions-related obligations and protocols (regulatory, contractual, and internal) and collaborates with Objective Leads or external attorney as needed.
- Conduct and consolidates research into a concise relevant material such as summarizing a new or proposed regulation and assist in preparing talking points.
- Provide initial review of draft press release and public announcement related to SINAR project
- Organize legal documents and materials on electronic database (i.e., Egnyte) and preserving confidentiality and respect sensitivities.
- Minimum bachelor’s degree in law
- Minimum 10 years of experience in law firm or corporate in-house legal experience.
- Experience in Energy Sector
- Proven ability to understand legal concept, familiarity with legal research, analysis, and compliance review
- Proficient in using Microsoft Office application and online research tools
- Organized and detail-oriented person
- Ability to work effectively in a diverse team environment
- Fluency in English and Bahasa Indonesia
- Office Setting, Domestic Travel
